1. Agreement to Terms

These Terms of Service ("Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and agnexus ("Company", "we", "us", or "our"). By creating an account, accessing, or using our platform, you agree to be bound by all the terms and conditions contained herein.

If you do not agree to any part of these terms, you may not use our service.

2. Service Description

agnexus is a platform for deploying and managing Model Context Protocol (MCP) servers. Our service allows you to:

  • Upload and deploy MCP server code
  • Connect GitHub repositories for automated deployments
  • Browse and deploy MCP templates from our marketplace
  • Manage and monitor your deployed MCP servers
  • Access analytics and usage tracking for your deployments

We provide infrastructure, deployment automation, and management tools to help you deploy and scale your MCP servers.

3. User Accounts and Registration

To use our service, you must create an account. By creating an account, you:

  • Agree to these Terms of Service and our Privacy Policy
  • Confirm that you are at least 18 years old, or have parental consent if under 18
  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Are responsible for maintaining the confidentiality of your account credentials
  • Are responsible for all activities that occur under your account
  • Agree to notify us immediately of any unauthorized use of your account

You may not share your account credentials with others or use another user's account.

4. Subscription Plans and Billing

agnexus offers subscription plans with different features and resource limits:

  • Free Plan (0€/month):
    • 1 MCP server
    • 3,000 credits per month (approximately 50 minutes usage)
    • 1 vCPU, 256MiB memory
    • Only Public MCPs
    • No Custom Subdomain
    • Basic Analytics
    • Community Support
    • 1 instance maximum
  • Starter Plan (29€/month):
    • 3 MCP servers
    • 300,000 credits per month (approximately 83 hours usage)
    • 1 vCPU, 1GiB memory
    • Access Keys
    • Custom Subdomains
    • Advanced Analytics
    • Email Support
    • 3 instances maximum
  • Growth Plan (119€/month):
    • 15 MCP servers
    • 3,000,000 credits per month (approximately 833 hours usage)
    • 1 vCPU, 1GiB memory
    • Access Keys
    • Custom Subdomains
    • Advanced Analytics
    • Priority Support
    • Always On (no scale-to-zero)
    • 5 instances maximum

Payment Processing: Payments are processed securely through Stripe, a third-party payment processor. We do not store your payment card information. By subscribing to a paid plan, you authorize us to charge your payment method for the subscription fee.

Subscription Terms:

  • Subscriptions are billed on a monthly basis
  • Your subscription will automatically renew unless cancelled
  • You may cancel your subscription at any time through your account settings or by contacting us
  • Cancellation takes effect at the end of your current billing period
  • No refunds are provided for partial billing periods
  • We reserve the right to change our pricing with 30 days notice

Resource Limits: Each plan has specific limits on the number of MCP servers, credits per month, compute resources (vCPU and memory), instances, and features. Credits are consumed based on actual execution time (1 credit = 1 second of execution). Exceeding these limits may result in service restrictions or require plan upgrades. Free plan users are limited to public MCPs only, cannot use custom subdomains, and have access to basic analytics only. Growth plan includes "Always On" feature which prevents automatic scaling to zero.

5. MCP Server Deployment

User Responsibility: You are solely responsible for:

  • The code and content of your deployed MCP servers
  • Ensuring your code complies with all applicable laws and regulations
  • Obtaining all necessary licenses and permissions for code you deploy
  • The security and performance of your deployed MCP servers
  • Any data processed or stored by your MCP servers

Prohibited Content and Activities: You may not deploy MCP servers that:

  • Violate any laws, regulations, or third-party rights
  • Contain malicious code, viruses, or malware
  • Are designed to harm, exploit, or defraud others
  • Infringe on intellectual property rights
  • Collect or process personal data without proper consent and legal basis
  • Are used for spam, phishing, or other fraudulent activities
  • Interfere with or disrupt our service or infrastructure

Service Availability: While we strive to maintain high availability, we do not guarantee uninterrupted service. Deployments may be subject to maintenance, updates, or outages. We are not liable for any downtime or service interruptions.

6. User Content and Intellectual Property

Your Content: You retain all ownership rights to the MCP server code and content you deploy through our platform. By using our service, you grant us a limited, non-exclusive license to:

  • Store, host, and deploy your code on our infrastructure
  • Process and transmit your code as necessary to provide the service
  • Create backups and maintain service availability

Our Content: All content on the agnexus platform, including but not limited to text, graphics, logos, images, software, and the platform itself, is the property of agnexus and protected by international copyright laws. You may not reproduce, distribute, or transmit any of our content without our prior written permission.

Marketplace Content: MCP templates available in our marketplace may be provided by third parties. Use of marketplace content is subject to the respective licenses and terms provided by the content creators.

7. Service Availability and Limitations

No Uptime Guarantee: While we strive to provide reliable service, we do not guarantee uninterrupted or error-free operation. The service is provided "as is" and "as available" without warranties of any kind.

Resource Limits: Your use of the service is subject to the resource limits associated with your subscription plan. We reserve the right to:

  • Enforce plan limits and restrictions
  • Throttle or limit usage that exceeds plan limits
  • Suspend or terminate accounts that violate these terms

Service Modifications: We reserve the right to modify, suspend, or discontinue any part of the service at any time with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the service.

Third-Party Services: Our service integrates with third-party services (such as GitHub, Stripe, Google Cloud Platform). Your use of these services is subject to their respective terms and conditions. We are not responsible for the availability or performance of third-party services.

8. User Conduct

You agree not to:

  • Harass, threaten, or abuse agnexus staff or other users
  • Spam or submit false information
  • Attempt to interfere with the normal operation of the platform
  • Use the platform for any illegal purpose
  • Violate any applicable laws or regulations
  • Attempt to gain unauthorized access to any portion or feature of the platform
  • Reverse engineer, decompile, or disassemble any part of the platform
  • Use automated systems to access the platform in a manner that sends more requests than a human could reasonably produce

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the service will be uninterrupted, error-free, or secure, or that defects will be corrected. We make no representations concerning the accuracy, likely results, or reliability of the use of the service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AGNEXUS OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or related to the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless agnexus and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the service, your content, or your violation of these Terms of Service.

12. Termination

Termination by You: You may terminate your account at any time by emailing us at pedro.fonseca@agnexus.ai. Upon termination:

  • Your access to the service will be immediately suspended
  • All your deployed MCP servers will be stopped and may be deleted
  • You will remain responsible for any charges incurred prior to termination
  • We may delete your account data in accordance with our Privacy Policy

Termination by Us: We may suspend or terminate your account immediately if:

  • You violate these Terms of Service
  • You engage in fraudulent or illegal activity
  • You fail to pay subscription fees
  • We are required to do so by law

Data Retention: After termination, we may retain your data for a reasonable period as required by law or for legitimate business purposes. You may request deletion of your data by contacting us at pedro.fonseca@agnexus.ai.

13. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of material changes by posting the updated terms on our website with a new "Last updated" date. Your continued use of the service after such modifications constitutes your acceptance of the updated terms.

If you do not agree to the modified terms, you must stop using the service and may terminate your account as described in Section 12.

14. Governing Law and Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the jurisdiction in which agnexus operates, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these terms or the service shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.
